The Role: Senior Venture Counsel

The Senior Venture Counsel will lead the legal support for all of CoinFund’s venture investing activities.

In this capacity, the senior venture counsel will deliver differentiating in-house support to the seed and venture investment teams by providing timely, comprehensive legal advice across all elements of venture investing, including investment structuring, portfolio company legal matters, investor/director protections, regulation and compliance matters, as well as fund formation, LP matters, and litigation support as needed.

Responsibilities:

• Provide ultra-fast turnaround, market checks and creative deal advice across all aspects of the firm’s venture transactions, including evaluating, structuring, negotiating, and implementing a wide variety of financings across pre-seed, seed, venture, and growth stages, in both companies and digital assets, and across geographies.
• Partner with all venture investors on the team to provide support for portfolio company transactions and legal matters.
• Support post-investment processes pertaining to portfolio investments, including valuation, reporting, and audit.
• Help select and serve as the primary point of contact for outside counsel related to the venture legal matters.
• Work closely with the General Counsel and legal team on fund formation matters for venture funds and SPVs, including drafting and negotiation of all fund documents.

Requirements:

• 8+ years of relevant legal experience at a top-tier venture capital firm or as a partner at a top law firm representing VC funds
• Thorough experience across hundreds of transactions in structuring venture capital investments across both tech and crypto
• A deep understanding of the nuances of web3 and cryptocurrency-based venture capital deals
• Closed-end VC fund expertise and in-depth knowledge of investment management legal issues, including pertinent regulations and guidance on investment advisory issues
• Deep personal excitement and commitment to the cryptocurrency industry
• Excellent document drafting skills
• Excellent judgment
• Strong interpersonal, analytical, problem-solving and organizational skills
• Strong verbal and written communication skills
• Ability to work independently
• Ability to be a proactive, dynamic member of a team
• A creative approach to problem solving
